After graduation from St. Clair College, you find investors that help you form a brand-new logistics company based in Windsor, Ontario. You want to take advantage of being so close to the U.S.A. border to work with importers and distributors to maximize delivery efforts in both countries. You also open a separate office in Halifax, NS to process and receive products shipped by the sea that you can then transport to your distribution facilities in Windsor. The Windsor airport is under-utilized with a lot of vacant land near it including nearby rail lines. You see this as providing you with a lot of options for air, rail, ground, and sea all being available to you for your business. As North America’s immigrant population grows, you particularly see a need to increase imports and deliveries from India and China. Specifically, you plan on importing food products that are not native to North America but are very common in Asian cuisine. You also are going to be importing and delivering speciality kitchen appliances and accessories including cooking appliances that work better for the style of cooking, but also must be used correctly or people could harm themselves. As part of this assignment, you are to create the name (make it up) of the business that you will be running. In addition, you must also create the name of at least two other companies. One that supplies the food products and one that supplies the kitchen appliances. One will be from India and the other from China. Again, create the names yourself. DO NOT use actual company names. I do not care which company is in which country, the important thing is they’re coming from separate countries. 

 

 

Part One (out of 25 points) 

Prior to purchasing the products from the suppliers, your lawyer has advised that written contracts should be entered into with the suppliers of the products. Please identify and describe 5 contractual terms/clauses that should be included in the contract. Within those 5 terms/clauses, make one of those terms address the transfer of ownership issue of the products and explain to me why such a term is important. Part Two (out of 25 points) 

Your company is exploring different means of transportation for the products from their suppliers. Please discuss various considerations for the transportation of the product by ocean freight, land transportation, and air freight shipments. Keep in mind that your products need to ultimately arrive in your Windsor distribution centre (but remember you also have a Halifax processing centre as well). More specifically, discuss common legal risks associated with the various methods of transportation. Furthermore, address the types of damage and losses that could take place. Please discuss considerations for the legal responsibility of various parties including carrier, freight forwarder, shipper/exporter and importer that may be involved in the process for the shipment of the products from China and India. As part of this discussion, make sure you address the limitations of liability for certain parties that were addressed in class. You should end by advising which method(s) you use for each product. Part Two should not exceed two single-spaced pages (or 6000 characters)

 

 

Part Three (out of 25 points)

 Please explain why your company will want to purchase insurance for the products prior to any shipments taking place. Discuss what types of insurance policies the company will want to consider purchasing and the reasons why & why not they may want to purchase that specific policy. Keep in mind a complete answer will discuss all forms of insurance available and why you would or would not want that type of insurance. In addition, the type of insurance may be different based on which product (appliances or food) and which method of transportation you chose (from question 2). Part Three should not exceed two single spaced pages (or 6000 characters)

 

Part Four (out of 25 points)

 For this part, remember that some of the products are dangerous goods in Canada. What legislation would apply while in Canada. Also, keep in mind some of the products are food/edible. Please discuss the applicable legislation (acts) and what risks and responsibilities those would create for you as the importer and transporter of the products. Part Four should not exceed one single spaced page (or 3000 characters)
